Terms of Service

1. Agreement to Terms

Welcome to Sonentrix Productions. These Terms of Service ("Terms") govern your access to and use of the Sonentrix Productions website, platform, educational content, services, and any related applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all the terms and conditions set forth herein, you must not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Sonentrix Productions ("Company," "we," "us," or "our"), a music education platform headquartered at 2 Ardery Pl, Paris, KY 40361, United States of America. The Service is intended for individuals who are at least 18 years of age, or minors who have obtained verifiable parental or guardian consent prior to using the Service.

We reserve the right to modify, update, or revise these Terms at any time at our sole discretion. Any changes will be effective immediately upon posting the revised Terms on the Service. Your continued use of the Service after the posting of revised Terms constitutes your acceptance of such changes. We encourage you to review these Terms periodically to stay informed of any updates.

2. Description of Service

Sonentrix Productions provides online music education services across multiple disciplines including, but not limited to, Music Production, Beat Making, Sound Engineering, Vocal Training, and Songwriting. The Service is delivered through a variety of formats including self-paced online courses, live and recorded masterclasses, and one-on-one private lesson sessions conducted via digital communication tools.

The content provided through the Service includes video lessons, audio demonstrations, written materials, practical exercises, project assignments, and supplementary educational resources. All content is designed for educational purposes and is intended to help users develop practical skills, creative techniques, and professional-level understanding of modern music creation and production.

The Service is provided on an "as-is" and "as-available" basis. While we strive to maintain the highest quality of educational content and platform reliability, we do not guarantee that the Service will be uninterrupted, error-free, or free from technical issues at all times. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without prior notice.

3. User Accounts and Registration

In order to access certain features of the Service, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information, and to update such information as necessary to maintain its accuracy. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.

You agree to immediately notify Sonentrix Productions of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials. We reserve the right to suspend or terminate your account at any time if we reasonably believe that your account has been compromised or if you have violated any provision of these Terms.

Each account is intended for use by a single individual. You may not share your account credentials with any other person or allow any other person to access the Service through your account. Accounts are non-transferable and may not be sold, traded, or assigned to any third party.

4. Intellectual Property Rights

All content, materials, and resources made available through the Service, including but not limited to video lessons, audio recordings, written content, graphic designs, logos, trademarks, software, and the overall design and layout of the platform, are the exclusive property of Sonentrix Productions or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its content solely for your personal, non-commercial educational purposes. This license does not include the right to copy, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any content, information, software, products, or services obtained from or through the Service.

You may not record, capture, screenshot, download (except where explicitly permitted), or otherwise reproduce any live sessions, private lessons, masterclasses, or course content for distribution, resale, or sharing with third parties. Any unauthorized use of the content may violate copyright laws, trademark laws, privacy and publicity laws, and communications regulations and statutes, and may result in legal action.

All trademarks, service marks, trade names, and trade dress used on the Service are the property of Sonentrix Productions. You may not use any of these marks without the prior written consent of Sonentrix Productions.

5. Payment Terms and Pricing

Certain features and services offered through the Service require payment. All prices are listed in United States Dollars (USD) unless otherwise specified. Prices are subject to change at any time without prior notice, provided that any price changes will not affect orders that have already been confirmed and processed.

By purchasing a course, masterclass, private lesson session, or any other paid service, you agree to pay the applicable fees in full at the time of purchase. All payments are processed through secure third-party payment processors. Sonentrix Productions does not store or have direct access to your complete payment card information.

You are responsible for any applicable taxes, duties, or other governmental fees associated with your purchase. If a payment is declined or fails for any reason, your access to the purchased content or service may be suspended until the payment issue is resolved.

Private lesson packages and immersion programs may be subject to specific payment schedules as outlined at the time of enrollment. Failure to make scheduled payments may result in suspension of services until all outstanding balances are settled.

6. User Conduct and Responsibilities

As a user of the Service, you agree to use the platform responsibly, respectfully, and in compliance with all applicable local, state, national, and international laws and regulations. You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service
  • Upload, post, or transmit any content that is defamatory, obscene, offensive, threatening, harassing, or otherwise objectionable
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use any automated means, including bots, scrapers, or spiders, to access the Service or collect data from the Service
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity
  • Share, distribute, or resell any content, course materials, or recordings obtained through the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other user's enjoyment of the Service
  • Engage in any activity that could harm the reputation of Sonentrix Productions or its instructors

We reserve the right to investigate any suspected violations of these Terms and to take appropriate action, including but not limited to reporting suspected illegal activity to law enforcement authorities, suspending or terminating your account, and pursuing any available legal remedies.

7. Private Lessons and Scheduling

Private lessons are scheduled by mutual agreement between the student and the instructor. Once a session is confirmed, both parties are expected to honor the scheduled time. Cancellations must be made at least 24 hours prior to the scheduled session time. Failure to provide adequate notice of cancellation or failure to appear for a scheduled session ("no-show") may result in forfeiture of that session without refund or rescheduling.

Sonentrix Productions reserves the right to reschedule or cancel sessions due to instructor unavailability, technical difficulties, or other unforeseen circumstances. In such cases, the student will be offered a rescheduled session or a credit toward a future session at no additional cost.

Private lessons are conducted via online communication platforms designated by Sonentrix Productions. It is the student's responsibility to ensure they have a stable internet connection, appropriate hardware, and any required software or DAW applications as specified by the instructor.

8. Course Access and Completion

Upon successful purchase of an online course, you will be granted access to the course content for the duration specified at the time of purchase. Unless otherwise stated, course access is granted on a lifetime basis, meaning you will have continued access to the purchased course content for as long as the Service remains operational.

Course completion certificates or badges, if offered, are provided for educational and motivational purposes only and do not represent formal accreditation, certification, or qualification from any accredited educational institution.

We reserve the right to update, modify, or retire course content at any time. While we strive to keep all content current and relevant, the nature of music production technology and practices means that some content may become outdated over time.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Sonentrix Productions disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will meet your specific requirements, that the Service will be uninterrupted, timely, secure, or error-free, that the results obtained from the use of the Service will be accurate or reliable, or that any errors in the Service will be corrected.

Sonentrix Productions does not guarantee any specific outcomes, results, or career advancement as a result of using the Service. The effectiveness of the educational content depends on numerous factors including but not limited to individual effort, prior experience, practice consistency, and natural aptitude.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Sonentrix Productions, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Service.

In no event shall the total liability of Sonentrix Productions to you for all claims arising from or related to your use of the Service exceed the amount you have paid to Sonentrix Productions during the twelve (12) months immediately preceding the date on which the claim arose.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sonentrix Productions and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to your violation of these Terms, your use of the Service, your violation of any rights of a third party, or any content that you submit, post, or transmit through the Service.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States of America, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Any arbitration shall be conducted on an individual basis and not in a class, consolidated, or representative proceeding. You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the provision.

14. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Sonentrix Productions with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Service.
